Terms & Conditions
These terms and conditions ("Agreement") govern your use of the services provided by Adonia Pty Ltd trading as Revi Social ("Agency") and any associated products, software, and platforms offered by the Agency. By accessing or using our services, you agree to be bound by these terms and conditions. If you do not agree to these terms, please refrain from using our services.
Services
1.1 The Agency provides marketing strategy, digital marketing, social media management, branding, and related services as agreed upon with the client.
1.2 The Agency will make reasonable efforts to meet project deadlines and achieve agreed-upon goals. However, the client acknowledges that the nature of marketing projects may be subject to unforeseen delays or technical issues that could affect the delivery timeline.
Client Obligations
2.1 The client shall provide accurate and complete information necessary for the Agency to perform the requested services. This includes but is not limited to access to relevant accounts, websites, and materials required for the project.
2.2 The client is responsible for obtaining any necessary permissions, licenses, or copyrights for the content provided to the Agency. The client guarantees that all materials provided to the Agency do not infringe upon the rights of any third parties.
Intellectual Property
3.1 The client retains ownership of any content, materials, or intellectual property provided to the Agency.
3.2 Unless otherwise agreed upon, the Agency retains ownership of all intellectual property created or developed during the provision of services, including but not limited to designs, software, code, and other related materials.
Confidentiality
4.1 Both parties agree to treat any confidential information received during the course of the project as confidential and not disclose it to third parties without prior written consent.
Payment
5.1 The client agrees to pay the Agency according to the agreed-upon payment terms and schedule. Payment terms, methods, and amounts will be outlined in a separate agreement or invoice.
5.2 In the event of non-payment or late payment, the Agency reserves the right to suspend services or terminate the agreement, as deemed necessary.
Limitation of Liability
6.1 The Agency will make every reasonable effort to provide high-quality services. However, the client acknowledges that the Agency does not guarantee specific results or outcomes.
6.2 The Agency shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the services provided.
Termination
7.1 Either party may terminate this Agreement by providing written notice to the other party. Either party must provide four weeks notice of termination. Termination shall not relieve the client's obligation to pay for any services already rendered by the Agency.
Governing Law and Jurisdiction
8.1 This Agreement shall be governed by and interpreted in accordance with the laws of New South Wales, Australia. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales.
Amendments
9.1 The Agency reserves the right to modify or update these terms and conditions at any time without prior notice. Any changes will be effective upon posting the updated terms on the Agency's website.
